1. Acceptance of These Terms

These Terms and Conditions govern your access to and use of the ZIP it website, mobile applications, merchant services, customer services and related features.

By creating an account, placing an order, selling through ZIP it or otherwise using the platform, you agree to these Terms and any policies incorporated by reference.

These include the:

  • Privacy Policy. 
  • Refund and Return Policy. 
  • Shipping Policy. 
  • Cancellation Policy. 
  • Community and Review Guidelines. 
  • Merchant terms, where applicable. 
  • Promotion-specific conditions. 

Do not use ZIP it if you do not agree to these Terms.

3. Nature of the Marketplace 

ZIP it operates a multi-merchant online marketplace.

Unless a product is expressly identified as being sold directly by ZIP it, products are listed and sold by independent third-party merchants.

For products sold by a third-party merchant:

  • The contract of sale is between the customer and the merchant. 
  • The merchant is responsible for the product, product description, legality, quality, conformity and fulfilment.
  • ZIP it provides the technology platform and may facilitate payment, logistics coordination, communications, customer support and dispute resolution. 
  • ZIP it is not the manufacturer, importer or seller unless expressly stated otherwise.  

Nothing in these Terms excludes responsibilities that cannot legally be excluded.

4. Eligibility 

You must have the legal capacity to enter into a binding agreement.

Users below the applicable age of majority may only use ZIP it under the supervision and with the consent of a parent or legal guardian.

Businesses using merchant functions must be properly authorised and legally entitled to conduct the relevant business.

5. Accounts  

You agree to:

  • Provide accurate and complete information. 
  • Keep your account information updated. 
  • Protect your login credentials. 
  • Use only accounts you are authorised to control.  
  • Notify ZIP it promptly of suspected unauthorised activity.
  • Accept responsibility for activity conducted through your account unless caused by ZIP it’s own breach. 

We may request additional information to verify your identity, business or transactions.

6. Account Restrictions 

You must not:

  • Create an account using false or misleading information. 
  • Impersonate another person or business. 
  • Operate multiple accounts to misuse promotions. 
  • Buy, sell or transfer ZIP it accounts.
  • Use automated tools to access the platform without permission. 
  • Interfere with the platform’s security or operation.
  • Conduct fraudulent or unlawful transactions. 
  • Manipulate ratings, reviews, orders or merchant performance. 
  • Circumvent fees, payment systems or marketplace rules.
  • Upload malware or harmful code.
  • Scrape or commercially exploit platform data without written permission.  

7. Product Listings 

Merchants are responsible for ensuring that listings are:

  • Accurate.
  • Complete. 
  • Current. 
  • Not misleading. 
  • Legally compliant.
  • Supported by adequate inventory.
  • Consistent with the product delivered. 

Product images may appear differently depending on lighting, photography and screen settings. Minor variations that do not materially affect the product may not constitute a defect.

ZIP it may review, amend, suspend or remove listings that breach marketplace requirements.

8. Restricted and Prohibited Products  

Merchants must not list products prohibited by law, regulation, customs requirements, logistics restrictions or ZIP it policy.

Restricted categories may include:

  • Dangerous or hazardous goods.
  • Illegal products.
  • Counterfeit products. 
  • Weapons.
  • Controlled substances.
  • Prescription products.
  • Tobacco and nicotine products. 
  • Alcohol. 
  • Certain food and health products. 
  • Products containing protected wildlife.
  • Recalled or unsafe products. 
  •  Products infringing intellectual-property rights.  

ZIP it may introduce category-specific approval requirements.

9. Orders

Submitting an order is an offer to purchase the selected product from the relevant merchant.

An automated order acknowledgement confirms receipt of the order but does not necessarily mean that the order has been accepted.

An order may be rejected or cancelled where:

  • The product is unavailable.
  • The price or listing contains an obvious error. 
  • Payment cannot be authorised.
  • Fraud or policy concerns arise. 
  • Delivery is unavailable.
  • The transaction is unlawful or restricted. 
  • The merchant cannot fulfil the order.  

 10. Multi-Merchant Checkout

Products from several merchants may be paid for through one checkout.

However:

  • Each merchant’s products form a separate merchant order.
  • Each merchant may have a different fulfilment schedule. 
  • Separate shipping charges may apply. 
  • Products may arrive in different parcels. 
  • Tracking and returns are managed at merchant-order or item level. 
  • Cancellation of one item does not necessarily cancel the remaining items.  

11. Pricing, Tax and Charges 

 Product prices, shipping charges, taxes, duties and other applicable charges will be displayed before payment where reasonably possible.

Prices may include applicable taxes where indicated.

For cross-border transactions, import taxes, customs duties or handling fees may apply. Where such charges are not collected at checkout, the customer may be required to pay them to the relevant authority, courier or service provider.

ZIP it does not apply a blanket tax charge to every transaction. Tax treatment depends on the product, merchant, transaction structure, destination and applicable law.

12. Payment  

Payments are processed through payment methods made available at checkout.

Available payment methods may differ by country, currency, device or transaction.

You authorise the relevant payment provider to process the transaction and permit ZIP it and the merchant to receive confirmation of payment status.

ZIP it may:

  • Conduct payment verification.
  • Request identity confirmation. 
  • Delay processing where fraud is suspected. 
  • Cancel transactions that cannot be verified.
  • Correct obvious payment or pricing errors.  

13. Promotions and Vouchers 

Promotions may be subject to:

  •  Eligibility requirements.
  • Minimum-spend requirements. 
  • Product or merchant exclusions. 
  • Usage limits.
  • Expiry dates. 
  • Country restrictions. 
  • Separate promotional terms.

Vouchers have no cash value unless expressly stated.

Where an order is cancelled, returned or refunded, promotional benefits may be recalculated. A voucher may be reissued, partly restored or forfeited depending on its terms.

14. Shipping and Delivery  

Shipping is governed by the Shipping Policy.

Delivery times are estimates and may be affected by:

  • Merchant preparation. 
  • Logistics capacity. 
  • Customs clearance. 
  • Public holidays. 
  • Weather. 
  • Security events. 
  • Incorrect customer information. 
  • Regulatory inspections.
  • Other circumstances outside reasonable control.

15. Returns, Refunds and Cancellations

 Returns and refunds are governed by the Refund and Return Policy.

Order cancellations are governed by the Cancellation Policy.

Customers must submit requests through the prescribed platform process and provide accurate supporting information.

16. Customer and Merchant Communications 

The platform may allow customers and merchants to communicate directly.

Users must not use messaging functions to:

  • Harass or threaten others. 
  • Send spam. 
  • Share unlawful content. 
  • Direct transactions away from ZIP it. 
  • Request payment outside the platform.
  • Misuse personal information.
  • Send harmful links or files.  

ZIP it may review communications where reasonably necessary for support, fraud prevention, dispute resolution, safety or legal compliance.

17. Reviews and User Content

Users may submit ratings, reviews, images, videos and other content.

You must ensure that submitted content:

  • Reflects a genuine experience. 
  • Is accurate and relevant. 
  • Does not infringe intellectual-property or privacy rights. 
  • Does not contain abusive, discriminatory or unlawful material.
  • Is not submitted in exchange for an undisclosed benefit.
  • Does not manipulate merchant ratings.

You grant ZIP it a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, display and use submitted content for operating and promoting the platform, subject to applicable privacy law.

18. Intellectual Property 

 The ZIP it name, logo, zipper icon, platform design, software, text, graphics, databases and other proprietary materials belong to ZIP GROUP PRIVATE LIMITED or its licensors.

You may not copy, modify, distribute, reverse engineer, reproduce or commercially exploit such materials without written permission.

Third-party product names, brands and trademarks belong to their respective owners.

19. Intellectual-Property Complaints 

Rights holders may report suspected infringement through:

A report should include:

  • The complainant’s identity and authority. 
  • Details of the protected work or right. 
  • The allegedly infringing listing. 
  • Supporting evidence. 
  • Contact information.
  • A declaration that the report is accurate and made in good faith. 

20. Platform Availability 

We aim to provide reliable access but do not guarantee that the platform will always be uninterrupted or error-free.

ZIP it may suspend, modify or discontinue functions for:

  • Maintenance. • Security. 
  • Technical upgrades.
  • Legal compliance. 
  • Fraud prevention. 
  • Business or operational reasons

21. Suspension and Termination

ZIP it may restrict, suspend or terminate an account where we reasonably believe that:

  • These Terms have been breached.
  • Fraud or unlawful activity has occurred. 
  • Another user or the platform may be harmed. 
  • Verification requirements are not met.
  • Payment obligations remain unresolved. 
  • An authority or payment provider requires action. 

Where appropriate, users will be given notice or an opportunity to respond.

22. Third-Party Services

ZIP it may integrate with independent payment, logistics, mapping, analytics or social-media services.

Use of those services may be subject to the third party’s own terms and privacy policy.

ZIP it is not responsible for an independent third party’s acts or omissions except to the extent required by law.

23. Disclaimers  
 To the fullest extent permitted by law:

  • Products sold by independent merchants are provided by those merchants.
  • Merchant-generated information is the responsibility of the relevant merchant. 
  • Product recommendations do not constitute professional advice.
  • Delivery estimates are not guaranteed.
  • Availability and pricing may change.
  • The platform is provided on an “as available” basis. 

Nothing in these Terms excludes statutory guarantees, consumer rights or liabilities that cannot lawfully be excluded.

24. Limitation of Liability 

To the fullest extent permitted by law, ZIP it will not be liable for indirect, incidental, special or consequential loss arising from use of the platform.

Where liability cannot be excluded, ZIP it’s liability will be limited to the extent permitted under applicable law.

This limitation does not apply to liability arising from fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot legally be limited.

25. Indemnity  

You agree to be responsible for losses reasonably incurred by ZIP it arising directly from your:

  • Fraudulent conduct.
  • Unlawful use of the platform.
  • Material breach of these Terms.
  • Infringement of another person’s rights. 

This provision does not require a consumer to indemnify ZIP it for losses caused by ZIP it’s own breach or negligence.

26. Force Majeure

ZIP it and merchants will not be responsible for delay or failure caused by events beyond reasonable control, including natural disasters, epidemics, war, civil unrest, government action, customs disruption, transportation failure, utility interruption, cyberattack or widespread system failure.

27. Governing Law

These Terms are governed by the laws of Singapore.

Users and ZIP it should first attempt to resolve disputes through the ZIP it Help Centre.

Nothing in these Terms prevents a consumer from pursuing remedies available under applicable consumer law or through an appropriate tribunal, court or dispute-resolution body.

28. Changes to These Terms  

ZIP it may update these Terms where necessary.

Material changes will be communicated through the platform or another appropriate channel. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law. 

29. General Provisions 

If any provision is found invalid or unenforceable, the remaining provisions remain effective.

Failure to enforce a provision does not waive the right to enforce it later.

These Terms and incorporated policies constitute the agreement governing use of ZIP it, unless separate written terms apply.
